Assignment Topic: One of the main ways in which the ‘veil of incorporation’ can be lifted is when directors breach their duties. This essay question is set around the duty to prevent insolvent trading. You will need to have read the chapter in your prescribed text that deals with this duty and have then researched more widely by looking at other textbooks, the relevant CCH online library, articles from the internet and journal articles. You must answer both parts of this topic. Please make sure you have REFERENCED in the body of your work ACCURATELY,. Read the following scenario and answer BOTH parts (questions) at the end. OHS Solutions Pty. Ltd. is a company formed by three friends (Des, Satish and Emma) who bring different skills and abilities to the business. Emma is an accounting graduate, Des has expertise in occupational health and safety (OHS) and Satish has an IT degree. They decided to start up a business which would provide a portal through which the public and businesses could access (for free) information on all aspects of OHS. OHS Solutions would finance its business, and make profits, by charging businesses to advertise via their website. The directors of OHS Solutions are: Managing Director – Des Finance Director – Emma (non executive) Director – Satish (executive – employed also to run the technological side of the business) Director – Ying (non executive) – a friend of Des’ and director of Support Pty. Ltd. (Support Pty. Ltd. has gone guarantor for a $50,000 loan from the Business Bank Ltd. to OHS Solutions) The Shareholders of OHS Solutions (holding equal amounts of ordinary shares) are Des, Emma, Satish and Support Pty. Ltd. As at January 2007 OHS Solutions had been operating for six months. It had  some initial IT problems which prevented some of the advertisers’ material from being accessed. In order to try to help overcome these technical problems Satish engaged Trouble Shooters Pty. Ltd. At the February Board meeting, Satish reported that two businesses who had paid to advertise on the website were dissatisfied with what was happening and were threatening to sue for breach of contract. Emma was unable to table any financial information as the employee who had been doing the accounts had been sick and when Emma looked at the records she found that they seemed to be in a bit of a mess. She did find a large account from Trouble Shooters that was over due. Des reported that he was disturbed by this news. He had been told by Satish that the IT problems had been fixed since Trouble Shooters had been engaged, and he had just signed a $10,000 advertising contract with Promotions Plus Pty. Ltd. to advertise the website and signed up to go to a trade show to be held in conjunction with a forthcoming OHS conference. He said this was needed because a number of high profile advertisers were threatening to discontinue their association with OHS Solutions unless the portal became better known. Ying just listens in disbelief at the March Board meeting. It seemed to her that OHS Solutions is being poorly managed and is failing to make the most of a potentially profitable business opportunity. This could present an opportunity for Support Pty. Ltd. to make an offer to buy OHS Solutions at a good price. On the other hand Support Pty. Ltd. is exposed as a guarantor. Assume she consults you, an accountant, for your preliminary view about the predicament of OHS Solutions and what she should do. Assume also that the first thing that comes to your mind is whether Ying herself may be vulnerable as a director of OHS Solutions for failing to prevent OHS Solutions from trading when it is insolvent.

Ethan Frome and Age of Innonce Essay Essay

Edith Warthon was born in New York City into a very wealthy family. She was forced into a loveless marriage and eventually fell in love with another man. Her life closely resembles the two books she wrote–Age of Innocence and Ethan Frome. Age of Innocence was a novel by Edith Warthon that was turned into a movie. Newland was about to marry May when May’s cousin Ellen came from Europe to New York. Newland found himself wanting to be with Ellen rather than May. Ethan Frome was very similar to Age of Innocence and was the story of a poor man, his wife, and her cousin who find themselves in a love conflict. Ethan was married to Zeena, his very ill wife. In order for Ethan to continue to work, Zeena’s cousin, Mattie, came to take care of her. Ethan instantly fell for the young, charming, and beautiful Mattie. The film and the novel share similarities in the representation of symbolism and jealousy in the main characters yet differ in how their love affairs were resolved. Both Age of Innocence and Ethan Frome shared similar symbolism. To start with, in Age of Innocence, Newland and May attend an opera. In this opera the man kissed the brown string on the women’s dress as he walked away from her. He needed to leave her because they should not be together, just like Newland and Ellen should not be together because he was engaged to her cousin. This compared to the part in Ethan Frome, when Mattie knitted the brown stuff and Ethan kissed it. Mattie pulled the brown stuff away from Ethan before long. This symbolized the fact that Ethan needed to leave her because he was married to Zeena for seven years. These parts are related because they both symbolize a love that needed to be forgotten, a love that needed to be left in the past. Secondly, Newland and Ethan are very similar. In Age of Innocence, Newland encouraged Ellen to stay in New York and not go back to her husband. Although Newland was engaged to be married he wanted her to himself. He did everything he could to get her to stay away from her ex-husband. Her ex-husband begged and pleaded for her to come back and Newland got jealous and convinced her to stay. In Ethan Frome, Zeena mentioned that Mattie would soon leave and would maybe wed Dennis Eady. Ethan soon became furious and said she would never marry him and she would never leave Zeena when she needed her–or more importantly him. Dennis Eady! If that’s all, I guess, there’s no such hurry to look around for a girl† (Wharton, 34). Later, Ethan saw that Mattie danced with Dennis Eady. He got jealous and could not go into the room and get her so he hid. Newland and Ethan both wanted something they knew was not really theirs and did not want them to be with anyone else. Although Newland and Ethan were very similar, they were also very different. Each fell in love with his wife’s cousin, but Newland knew his responsibilities; he knew he had to stay with his wife, and that was what Ethan did not know. In Age of Innocence, when Ellen found out that May was pregnant, she left for London. She knew she could no longer interfere with their relationship. Newland was going to follow her but when he found out he was going to have a child with May Newland knew he needed to stay with her. And that was where Newland and Ethan differ. In Ethan Frome, Ethan was going to stay with Zeena and let Mattie leave but when she was about to leave he decided he was going to be the one to drive Mattie to the train station. On the way, they took a trip down memory lane and revisited many spots where they fell for each other. Then they stopped to sled and Mattie and Ethan agreed to kill themselves and escape Zeena. Newland knew that he needed to stay and be with May even though he may have been happier with Ellen. Ethan only thought about himself when he tried to kill himself and that’s where they differ. Newland’s and Ethan’s lives could have been better if they had left their wives and followed the person they were in love with. If May had never gotten pregnant then he could have gone to Europe and followed Ellen. Newland would have been happier with having a family with Ellen rather than May. If Ethan had left Zeena and went west with Mattie he could have been so much happier. He would not have to pay to care for Zeena. Also, he would have been with someone he actually wanted to marry, not someone whom he married just to avoid being lonely in the winter after his mom died. All in all, Age of Innocence and Ethan Frome are very similar but still different. They are similar because of the symbolism used. Also, Newland and Ethan are very similar because of whom they fell in love with. However, they differ due to the way Newland and Ethan handled the situation of being in love with their wife’s cousin.

As a Facility Manager, it is Mr. Russell's duty to look after whether the patients are getting all the facilities for which the authority has promised to them. He mentions some of the facilities that are unique in this nursing home and he further adds that these unique features have helped the nursing home to ensure its popularity. First of all there is an insurance facility every patient, which is very rare in the nursing homes. The patient can apply for the insurance with a certain amount of money that has to be deposited in the nursing home bank. This also helps the patients to get facilities in case they are admitted in future. Insurances are also helpful if someone from their families is admitted there. Mother Mary Nursing Home keeps all the tracks of the past records of the patients who are admitted here. These computerized records are very helpful to the doctors in case someone is admitted again in the future. Physicians can get all the details about the medical history of the patient and this helps in the process of diagnosis. There is free breakfast in every morning for the patients and tea and coffee for the visitors. The nursing home authority makes it a point so that no issue regarding the hygiene of the patient can be raised. The foods are healthy and applicable for all the patients no matter what disease they are suffering from. There are also special arrangements for the patients whose conditions are more critical than the others. All the patients are kept in separate rooms and there is no dormitory in the nursing home where privacy of the patients may get disturbed. Attendants are very regular in their job. All the rooms are cleaned up from time to time. Hygiene is in the culture of the nursing home and this is why patients are highly satisfied with the kind of services they are provided with in this organization. Politeness and cooperative nature of the attendants is focused so that the patients never feel lonely in this building.
